These Affiliate Referral Program Terms and Conditions (the “Agreement”) govern the participation of individuals or entities (the “Affiliate”) in the Recroot Affiliate Referral Program (the “Program”) by Recroot U.S. L.L.C. (the “Company”).
By signing up for the Program, the Affiliate agrees to the following terms:
1. Eligibility
1.1. To be eligible to participate in the Program, the Affiliate must have an active, legitimate platform (e.g., a blog, website, social media following) and agree to the terms outlined in this Agreement.
1.2. Recroot U.S. L.L.C. reserves the right to approve or reject any affiliate application at its discretion.
2. Affiliate Responsibilities
2.1. The Affiliate is responsible for promoting Recroot’s services through legitimate and lawful methods, ensuring that any advertising or promotional content abides by applicable legal guidelines.
2.2. The Affiliate agrees not to engage in misleading or unethical advertising practices and will not misrepresent Recroot’s services.
2.3. The Affiliate agrees to comply with all applicable laws, regulations, and industry standards when promoting Recroot.
3. Commission Structure
3.1. The Affiliate is entitled to a 20% commission on the net income from the first three months of a contract signed by a referred client, provided that the referred client is not already in Recroot’s customer database and the contract is for at least 40 hours per month.
3.2. Net income is defined as the revenue received by Recroot from the referred client, minus any applicable taxes, fees, or direct expenses (such as developer payments and platform fees).
3.3. Commissions will only be paid for referrals that result in a successfully signed contract for at least 40 hours per month within 90 days of the referral. The commission is limited to the first three months of the contract, after which no further commission will be paid.
3.4. Commissions will not apply to contract renewals, extensions, or any subsequent business between the client and Recroot beyond the first three months.
4. Payout Terms
4.1. Commission payments will be made to the Affiliate once the referred client has signed a contract and Recroot has received payment from the client for at least 50% of the work in the first three months.
4.2. Payment will be made to the Affiliate via the method agreed upon during sign-up (e.g., bank transfer, PayPal) and will be processed within 30 days of the commission becoming payable.
4.3. Recroot U.S. L.L.C. reserves the right to withhold or adjust payments in the event of refunds, cancellations, or fraudulent activity.
5. Referral Process
5.1. Referrals must be made through the unique referral link or code provided to the Affiliate.
5.2. Recroot U.S. L.L.C. reserves the right to review and disqualify referrals that do not meet the Program’s eligibility criteria.
5.3. In the event of a dispute over referral ownership, Recroot U.S. L.L.C. reserves the right to determine the rightful affiliate at its sole discretion.
6. Program Limitations
6.1. The Program is intended to be used to refer new clients to Recroot. Affiliates cannot refer themselves, their employees, or any entity that they own or operate.
6.2. The Program may not be used to gain referrals through spam or other disreputable means, including unsolicited email marketing.
7. Termination
7.1. Either party may terminate this Agreement at any time for any reason by providing written notice.
7.2. Upon termination, the Affiliate will no longer be entitled to commissions for any referrals made after the termination date, though Recroot will honor any commissions earned for contracts signed before termination.
8. Modifications to the Program
8.1. Recroot U.S. L.L.C. reserves the right to modify or terminate the Affiliate Program at any time, with or without notice.
8.2. In the event of modification, the Affiliate’s continued participation in the Program will be deemed acceptance of the updated terms.
9. Limitation of Liability
9.1. Recroot U.S. L.L.C. will not be liable for any indirect, special, or consequential damages, including loss of revenue, profits, or data arising out of this Agreement.
9.2. The maximum liability of Recroot U.S. L.L.C. for any claim arising out of this Agreement will not exceed the total commission fees paid to the Affiliate.
10. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions.
11. Entire Agreement
This Agreement constitutes the entire understanding between Recroot U.S. L.L.C. and the Affiliate concerning the subject matter herein and supersedes all prior agreements, understandings, or communications.
